2.2 Human Oversight Required

5. INTELLECTUAL PROPERTY RIGHTS
5.1 Ownership
  • Kaanha Tech's IP: All pre-existing methodologies, frameworks, tools, algorithms, and intellectual property developed by Kaanha Tech remain our exclusive property
  • Custom Solutions: Custom AI tools and solutions developed specifically for a client may be owned by the client, subject to separate contractual agreements
  • Derivative Works: General knowledge, techniques, and approaches gained during projects may be applied to future engagements
5.2 License Grant
Clients receive a non-exclusive, non-transferable license to use delivered solutions solely for their authorized business purposes.
5.3 Client IP Protection
Kaanha Tech respects all client intellectual property and proprietary information. We will not use client IP beyond the scope agreed upon in our engagement terms.
5.4 Attribution
Where applicable, clients may request attribution for custom work. However, Kaanha Tech retains the right to reference completed projects in case studies, portfolios, or business development (with client consent and confidentiality protections).
6. LIABILITY LIMITATIONS
6.1 Limitation of Liability
To the maximum extent permitted by law, Kaanha Tech's total liability for any claim arising from our services shall not exceed the fees paid by the client in the 12 months preceding the claim.

Kaanha Tech shall not be liable for:

9.3 No Obligation
Participation in discovery calls or receiving an assessment does not obligate either party to proceed with a full engagement.
10. MODIFICATIONS & TERMINATION

Kaanha Tech reserves the right to modify this disclaimer at any time. Material changes will be communicated to active clients. Continued use of our services constitutes acceptance of updated terms.
10.2 Termination
Either party may terminate an engagement subject to the terms outlined in the respective service agreement. Upon termination:
  • Kaanha Tech will deliver all completed work
  • Client data will be returned or securely deleted
  • Payment obligations for work completed remain due
10.3 Survival
Sections regarding confidentiality, intellectual property, liability limitations, and ethical use shall survive termination.
11. APPLICABLE LAW & DISPUTE RESOLUTION
11.1 Governing Law
This disclaimer shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
