By accessing our website, using our services, registering an account, or engaging with Kaanha Tech in any manner, you agree to be legally bound by these Terms of Use. If you do not agree to these Terms, you must not access or use our services.
By using Kaanha Tech, you acknowledge:
  • You are at least 18 years old and legally capable of entering into binding agreements
  • You have read, understood, and agree to all Terms
  • You have the authority to represent any organisation you represent

3.2 Service Limitations
  • Services are provided "as is" without guarantee of specific outcomes
  • We do not guarantee uninterrupted service availability
  • We reserve the right to modify or discontinue services with notice
  • Some services require advance planning and preparation
  • Success depends on client participation and implementation
3.3 No Warranty of Results
While we endeavor to provide high-quality services:
  • We do not guarantee specific business outcomes or ROI
  • Results depend on market conditions, data quality, and implementation
  • Forecasts and predictions are estimates subject to error
  • Past performance does not guarantee future results
4. USER ELIGIBILITY & REGISTRATION
4.1 Eligibility Requirements
You may use Kaanha Tech services only if:
  • You are at least 18 years old
  • You are legally capable of entering into binding agreements
  • You are not prohibited by law from using our services
  • You are not a resident of sanctioned countries
  • You have not violated these Terms or other agreements with us
4.2 Account Registration
If you create an account:

  • You are responsible for maintaining account confidentiality
  • You are liable for all activities under your account
  • You agree to notify us of unauthorized access immediately

5. INTELLECTUAL PROPERTY RIGHTS

All content on our website and in our services is owned by or licensed to Kaanha Tech:
  • Logo, name, designs, and branding
  • Website layout and structure
  • Methodologies, frameworks, and proprietary processes
  • Pre-existing tools, templates, and algorithms
  • Documentation, guides, and educational materials
  • Software, code, and technology infrastructure
License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website and services solely for authorized business purposes.
Prohibited Use: You may NOT:
  • Reproduce, modify, or distribute our content without permission
  • Reverse-engineer or decompile our technology
  • Create derivative works from our services
  • Scrape, crawl, or extract data from our website
  • Use our branding without written authorization
  • Circumvent security measures or access restrictions
5.2 Client Intellectual Property
Your Content: Any content you provide (data, documents, specifications) remains your property.
Our Use: You grant us a limited license to:

  • Retain data during the engagement and post-project period as agreed
Confidentiality: We maintain strict confidentiality of your information under separate confidentiality agreements.
5.3 Deliverables & Custom Work
Ownership: Deliverables created specifically for you may be owned by you, subject to:
  • Execution of a separate Service Agreement
  • Payment of all fees
  • Compliance with project terms
  • Retention of our underlying methodologies and tools
Pre-Existing Materials: Pre-existing tools, frameworks, and methodologies remain Kaanha Tech's property and are licensed for your use.
5.4 License Rights
We grant you:
  • Non-exclusive license - You are not the sole user
  • Non-transferable license - You cannot transfer to others
  • Revocable license - We can terminate upon project completion
  • Limited purpose license - Solely for your authorized business use
6. ACCEPTABLE USE POLICY
6.1 Prohibited Activities
You agree NOT to:
Illegal Activities:
  • Violate any applicable laws, regulations, or court orders
  • Engage in fraud, deception, or misrepresentation
  • Commit intellectual property infringement
  • Participate in money laundering or financial crimes
  • Violate export control regulations
Harmful Activities:
  • Harass, threaten, or intimidate others
  • Engage in abusive or defamatory conduct
  • Promote violence, terrorism, or extremism
  • Engage in discrimination or hate speech
  • Stalk or cyberbully individuals
Security Threats:
  • Attempt to gain unauthorized access to systems
  • Deploy malware, viruses, or malicious code
  • Conduct denial-of-service (DDoS) attacks
  • Exploit security vulnerabilities
  • Interfere with system operations or functionality
  • Access others' accounts without authorization
Content Violations:
  • Upload or transmit obscene or inappropriate content
  • Distribute child sexual abuse material
  • Share private information without consent
  • Spread misinformation or disinformation
  • Promote illegal substances or activities
Competitive Misuse:
  • Reverse-engineer our solutions
  • Copy or replicate our methodologies
  • Create competing services based on ours
  • Disclose confidential business practices
  • Disparage Kaanha Tech improperly
Technical Abuse:
  • Spam or flood our systems
  • Send unsolicited messages in bulk
  • Use bots or automation inappropriately
  • Interfere with website functionality
  • Consume excessive resources
6.2 Monitoring & Enforcement
Kaanha Tech may:
  • Monitor usage to detect violations
  • Remove violating content
  • Suspend or terminate accounts
  • Report illegal activity to authorities
  • Take legal action for breaches
7. USER CONTENT & SUBMISSIONS
7.1 Your Responsibility
You are solely responsible for:
  • All content you submit or upload
  • Ensuring content is accurate, complete, and legal
  • Verifying you have rights to share content
  • Compliance with all laws and regulations
  • Obtaining necessary permissions and licenses
7.2 License You Grant
By submitting content to Kaanha Tech:
  • You grant us a worldwide, royalty-free license to use it
  • We may use content for service delivery, improvement, and analysis
  • We may display testimonials or case studies (anonymized as appropriate)
  • This license survives termination of your relationship with us
7.3 Feedback & Suggestions
Any feedback, suggestions, or ideas you provide:
  • Become our property
  • May be used without compensation or attribution
  • Are not subject to confidentiality obligations
  • We have no obligation to implement or acknowledge
8. THIRD-PARTY CONTENT & LINKS

9. PAYMENT & FEES
9.1 Pricing & Payment Terms
Service Fees:
  • All pricing is stated in Australian Dollars (AUD) unless otherwise specified
  • Prices are subject to change with 30 days' notice
  • Prices exclude applicable taxes (GST, VAT, etc.)
Payment Methods:
  • Credit card, bank transfer, or other methods as offered
  • Payments are processed securely through third-party processors
  • We do not store your complete payment information
Invoicing:
  • Invoices are issued as per Service Agreement terms
  • Payment is due within 30 days of invoice (unless otherwise agreed)
  • Late payments accrue interest at 1.5% per month or maximum legal rate
9.2 Fees & Charges
Service Fees: Cost of services as agreed in project proposal
Reimbursable Expenses:
  • Documented third-party costs (software licenses, subscriptions)
  • Travel and accommodation (if applicable)
  • Reimbursement billed at cost + 10% administration fee
Additional Charges:
  • Rush/expedited delivery
  • Scope expansion or change requests
  • Extended support or maintenance
  • Training and consultation beyond agreement
9.3 Refund Policy
No Refunds: Generally, fees are non-refundable once services begin.
Exceptions:
  • If we fail to deliver services as described
  • If project is cancelled within 7 days of start
  • If we materially breach the agreement
  • Refund disputes resolved per dispute resolution process
Cancellation:
  • Client-initiated cancellation: 2 weeks' notice
  • Work completed prior to cancellation is non-refundable
  • Early termination may trigger cancellation fees
9.4 Taxes
You are responsible for all taxes:
  • Applicable sales tax, GST, VAT, or other taxes
  • We may collect and remit taxes where required
  • You must provide tax identification if requested
  • You are responsible for transfer taxes and duties
10. SERVICE DELIVERY & TIMELINES
10.1 Project Commencement
  • Projects begin upon execution of Service Agreement and payment receipt
  • Timelines begin from the agreed project start date
  • Delays due to client non-responsiveness extend timelines accordingly
  • We will notify you of any significant delays
10.2 Client Responsibilities
For successful project delivery, you must:
  • Provide accurate, complete, and timely information
  • Designate a primary contact and decision-maker
  • Respond to requests within 5 business days
  • Provide necessary access to systems and data
  • Implement recommendations and feedback promptly
  • Make timely decisions to avoid delays
10.3 Deliverables & Acceptance
Deliverable Timeline:
  • Specific deliverables and dates per Service Agreement
  • Deliverables provided in agreed formats and media
  • Multiple rounds of revision included (as specified)
  • Additional revisions billed separately
Acceptance:
  • Client reviews deliverables within 5 business days
  • Feedback provided clearly and substantively
  • We revise deliverables per reasonable feedback
  • Final acceptance marks project milestone
10.4 Force Majeure
Kaanha Tech is not liable for delays caused by:
  • Natural disasters, pandemics, wars, or acts of God
  • Government actions, regulations, or restrictions
  • Internet outages or infrastructure failures
  • Cyber attacks or security incidents
  • Third-party failures (vendors, providers, utilities)
  • Any event beyond our reasonable control
11. LIMITATIONS OF LIABILITY
11.1 Disclaimer of Warranties
AS-IS BASIS: Our services are provided "as is" without warranties.
We DO NOT warrant:
  • Accuracy, completeness, or reliability of services
  • Uninterrupted or error-free operation
  • Fitness for particular purposes
  • Freedom from viruses or harmful code
  • Third-party compatibility or integration
  • Specific business outcomes or results
No Liability for:
  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Lost data, work product, or intellectual property
  • Reputational harm or emotional distress
  • Damages from third-party claims
11.2 Liability Cap
Maximum Liability: Our total liability for any claim shall NOT exceed:
  • Amount paid: The fees you paid in the 12 months preceding the claim, OR
  • $5,000 AUD: Whichever is greater
This cap applies to ALL claims regardless of cause (contract, tort, negligence, strict liability).
11.3 Exclusions from Liability Cap
The liability cap does NOT apply to:
  • Your breach of confidentiality obligations
  • Your indemnification obligations
  • Infringement of our intellectual property
  • Data breaches caused by your negligence
  • Violation of these Terms
  • Any liability that cannot be limited by law
11.4 Mutual Acknowledgment
You acknowledge and agree:
  • These limitations are reasonable and fair
  • We would not provide services without them
  • You have opportunity to obtain insurance
  • You accept the risk allocation
  • These limitations survive termination
12. INDEMNIFICATION
12.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Kaanha Tech from:
  • Third-party claims arising from your use of services
  • Your violation of these Terms or applicable laws
  • Your infringement of others' intellectual property
  • Your breach of confidentiality agreements
  • Content you provide or authorize
  • Your misuse of services or data
12.2 Indemnification Process
If we incur claims requiring indemnification:
  • You will defend us with counsel of our choosing
  • You will reimburse our reasonable attorneys' fees
  • You will cover settlement and judgment amounts
  • We will cooperate in our defense
  • We will not admit liability without your consent
12.3 Our Indemnification
We agree to indemnify you from:
  • Third-party claims that our services infringe their IP (if used as authorized)
  • Our breach of these Terms
  • Our unauthorized use of your Confidential Information
  • Subject to same process as above
13. CONFIDENTIALITY

"Confidential Information" includes:
  • Business strategy and financial information
  • Technical data and source code
  • Client lists and customer information
  • Project details and deliverables
  • Pricing and cost information
  • Any information marked confidential
13.2 Confidentiality Obligations
Each party agrees to:
  • Maintain strict confidentiality of other's information
  • Protect information with reasonable security measures
  • Limit access to employees with legitimate need
  • Not disclose without written consent
  • Return or destroy information upon request
13.3 Permitted Disclosures
Confidential Information may be disclosed:
  • To employees and contractors with need-to-know
  • To comply with legal requirements (with notice)
  • To professional advisors (attorneys, accountants)
  • As required by court order or government authority
  • With prior written consent from other party
13.4 Survival
Confidentiality obligations survive:
  • Project completion
  • Contract termination
  • End of business relationship
  • For 5 years from disclosure (unless longer required by law)
14. TERMINATION & SUSPENSION
14.1 Termination for Convenience
Client Termination:
  • May terminate with 2 weeks' written notice
  • Must pay for work completed to date
  • Termination fees may apply (as specified in agreement)
  • We transfer completed work upon payment
Our Termination:
  • We may terminate with 30 days' written notice
  • No cause required unless you breach
  • We provide transition assistance (reasonable efforts)
  • Refund provisions as per agreement
14.2 Termination for Cause
Either party may terminate immediately if:
  • Other party materially breaches these Terms
  • 30 days' written notice provided to cure
  • Breach remains uncured after cure period
  • Immediate termination for illegal activity
14.3 Effects of Termination
Upon termination:
  • All service delivery ceases
  • Your account access terminates
  • Licenses granted terminate
  • Outstanding payments remain due
  • Confidentiality obligations survive
  • We may delete your data after retention period
14.4 Suspension
Kaanha Tech may suspend services immediately:
  • If you fail to pay fees (after 10 days' notice)
  • If you breach confidentiality or legal obligations
  • If your use violates our policies
  • To prevent legal liability or security threats
  • Without liability for service interruption
15. WARRANTY DISCLAIMERS
15.1 Express Disclaimers
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED:
  • MERCHANTABILITY - Fitness for sale
  • FITNESS FOR PARTICULAR PURPOSE - Suitability for your needs
  • NON-INFRINGEMENT - No third-party rights infringement
  • TITLE - Ownership of delivered work

  • RELIABILITY - Consistent operation

Services are provided "as-is" in their current condition:

  • You accept services in current state
  • We do not repair defects or issues
  • You assume all risks of use

  • We do not guarantee business outcomes
  • We do not guarantee ROI or profitability
  • We do not guarantee market success
  • We do not guarantee customer satisfaction
  • Results depend on market, implementation, and other factors
16. DISPUTE RESOLUTION
16.1 Informal Resolution
Before legal action:
  • Contact our customer service with detailed complaint
  • Provide 30 days for resolution attempts
  • Participate in good-faith negotiation
  • Document all communications
  • Be reasonable and professional
16.2 Mediation
If unresolved after 30 days:
  • Either party may request mediation
  • Neutral third-party mediator selected
  • Each party bears own costs
  • Mediation held in Australia (or virtually)
  • Good-faith participation required
16.3 Arbitration
If mediation fails:
  • Disputes resolved through binding arbitration
  • Arbitration conducted under Australian Arbitration Act
  • Single arbitrator selected by mutual agreement
  • Arbitration held in Australia
  • Arbitrator's decision is final and binding

  • Subject to any signed Service Agreement (which controls for conflicts)
17.2 Amendments & Modifications
Kaanha Tech may modify these Terms:

  • Changes effective 30 days after notice
  • Your continued use constitutes acceptance
  • You may terminate if you disagree with changes
17.3 Severability
If any provision is invalid or unenforceable:

17.4 Waiver
